Terms of Service
Version 1.0
The agreement that governs every user of SoloTrueJobs.com, and that the Job Seeker Terms, the Recruiter and Agency Terms, and the Business Terms sit inside.
Effective: October 13, 2026 | Version 1.0 | Governed by Florida law
SoloTrueJobs.com LLC, a Florida limited liability company
PRELIMINARY STATEMENT
These Master Terms of Service (the "Master Terms") are the agreement between SoloTrueJobs.com LLC and every person who creates an account on or uses the SoloTrueJobs.com platform. They work together with the terms for your user type (the Job Seeker Terms, the Recruiter and Agency Terms, or the Business Terms) and with the Privacy Policy. Where a matter is specific to your user type, your user-type terms control. On dispute resolution, governing law, intellectual property, indemnification, limitation of liability, and everything else, these Master Terms control.
These Master Terms contain an agreement to arbitrate disputes on an individual basis, a waiver of class actions and jury trials, and a small claims court carve out. Part XIV explains them. You may opt out of arbitration within 30 days of first accepting these Master Terms, as Part XIV.H describes.
SUMMARY OF PRINCIPAL TERMS
The following summary is provided for convenience and does not alter the Parts that follow.
- You must be at least 18, use your real identity, and keep one account. Verification is keyed to who you are, not to your email or device.
- Verification confirms identity and credentials through trusted external partners. It never includes criminal history searches, it is not an investigation of character or history, and it is not an endorsement of anyone's safety, character, or suitability (Part VI).
- We do not assure you a job, a hire, a candidate, or any outcome. We verify and connect. The rest is yours (Part VII).
- Your content stays yours. You give us the license we need to run the platform. The platform, its code, its design, and its name are ours (Part IX).
- Our liability to you is capped at the amounts you paid us in the 12 months before the claim, and we are not liable for indirect or consequential losses (Part XII).
- Disputes go to individual arbitration under the AAA Consumer Rules, with a small claims court carve out and a 30 day opt out. Florida law governs (Parts XIII and XIV).
- We can change these Master Terms. Material changes get 30 days notice, and your remedy if you disagree is to cancel before they take effect (Part XVI).

I. ACCEPTANCE, ELIGIBILITY, AND THE AGREEMENT
Clicking "I agree" is a contract. It covers these Master Terms, the terms for your user type, and the Privacy Policy. If you do not agree, do not create an account.
By clicking "I agree," creating an account, or using the SoloTrueJobs.com platform (the "Platform"), You enter into a binding agreement with SoloTrueJobs.com LLC, a Florida limited liability company ("SoloTrueJobs.com," "we," "us," or "our"). The agreement consists of these Master Terms, the terms applicable to Your user type (the "Specific Terms": the Job Seeker Terms, the Recruiter and Agency Terms, or the Business Terms), and the Privacy Policy, each as in effect from time to time. Together they are the "Agreement." If You do not agree, do not create an account or use the Platform.
A. Eligibility
You may use the Platform only if You are at least eighteen (18) years old, have the legal capacity to enter into a contract, and are not barred from the Platform under Part XI. If You accept the Agreement on behalf of a company, firm, or other entity, You represent that You are authorized to bind that entity, and "You" includes the entity.
B. Order of Precedence
Where a provision of the Specific Terms for Your user type conflicts with these Master Terms on a matter specific to that user type (for example, verification scope, pricing, clocks, enforcement timelines, or refunds), the Specific Terms control. On all other matters, including dispute resolution, governing law, intellectual property, indemnification, disclaimers, and limitation of liability, these Master Terms control. The Privacy Policy governs how we collect, use, and retain personal information; where it conflicts with any Terms on that subject, the Privacy Policy controls.
C. Record of Acceptance
We record the date and time of Your acceptance, the IP address from which You accepted, the version number of the Master Terms and of the Privacy Policy You accepted, a fingerprint of the exact text shown to You, and where on the Platform You accepted. We keep that record as evidence of contract formation for the life of Your account and for five (5) years afterward, as the Privacy Policy describes.
II. DEFINITIONS
These terms carry the same meaning in every document that makes up the Agreement.
Capitalized terms have the meanings given in this Part. The same meanings apply in the Specific Terms and the Privacy Policy, which define only the additional terms they introduce.
(a) "Agreement" means these Master Terms, the Specific Terms for Your user type, and the Privacy Policy, together, as Part I.A describes.
(b) "Applicant" means a natural person who has created an account under the Job Seeker Terms and has not yet completed verification and accepted the verification report.
(c) "Business" means a company that has created an account under the Business Terms to post and fill its own roles, including any hiring seat occupant operating under a Business profile.
(d) "Business day" means a day other than a Saturday or Sunday.
(e) "Content" means profiles, postings, messages, applications, feedback, documents, images, and any other material a User submits to or generates through the Platform.
(f) "Job Seeker" means a natural person who has created an account under the Job Seeker Terms, whether as an Applicant or as a Verified Job Seeker.
(g) "Master Terms" means this document.
(h) "Match" means a role that a Job Seeker was eligible to apply for, as the Job Seeker Terms Part VI.A describes. It does not mean an interview, a hire, or any other outcome.
(i) "No Match Refund" means the refund described in the Job Seeker Terms Part XII, on the conditions stated there.
(j) "Package" means any of the verification and access packages described in the Specific Terms, including the TRUE5, TRUE7, TRUE10, TRUEREC, TRUEREC7, TRUEREC15, TRUEBIZ, TRUEBIZ7, and TRUEBIZ15 packages.
(k) "Platform" means the SoloTrueJobs.com website, applications, and services operated by SoloTrueJobs.com LLC.

(p) "Solo Recruiter" means a natural person who has created an account under the Recruiter and Agency Terms and recruits independently, or under an employer relationship that does not involve a Recruiting Agency profile on the Platform.
(q) "Specific Terms" means the Job Seeker Terms, the Recruiter and Agency Terms, or the Business Terms, as applicable to Your user type.
(r) "User" means any Job Seeker, Recruiter, or Business, and any other person who accesses the Platform.
(s) "Verification Partners" means the trusted external partners designated by SoloTrueJobs.com from time to time to perform identity verification, credential verification, or business identity verification. The Verification Partners are named in the Privacy Policy.
(t) "Verified Job Seeker" means a Job Seeker whose verification has been completed by the Verification Partners and who has accepted the verification report under the Job Seeker Terms, Part III.C.
(u) "You" and "Your" mean the person who accepts the Agreement and uses the Platform and, where that person accepts on behalf of a company, firm, or other entity, that entity as well. "We," "us," and "our" mean SoloTrueJobs.com LLC.
III. ACCOUNTS
One person, one account. One firm, one account. Keep your login secure. Tell us if something looks wrong.
A. Single Account and Real Identity
Each natural person may hold one Job Seeker account and, if applicable, one Solo Recruiter account. Each verified firm or company may hold one Agency or Business account per operationally independent office, as the Specific Terms describe. Verification is keyed to real identity, not to an email address, phone number, device, or name spelling. Attempting to create a second account under any credentials is treated as identity fraud under the Specific Terms and results in closure and a permanent bar.
B. Security
You are responsible for keeping Your password and any other login credentials confidential and for all activity under Your account. Notify us immediately through the Contact Us form if You believe Your account has been accessed without authorization. We may require identity re-confirmation before restoring access.
C. Accuracy
You shall provide accurate and complete information at signup and keep it current. Material misrepresentation at any time is grounds for closure under Part XI.
IV. ACCEPTABLE USE
Use the Platform for what it is for: verified job seekers meeting verified employers and recruiters. Do not scrape it, spam it, attack it, or use it to do anything unlawful.
You shall not, and shall not permit anyone else to:
(a) use the Platform for any unlawful purpose or in violation of any applicable law, including employment, anti-discrimination, privacy, and consumer protection laws;
(b) post, send, or submit Content that is false, misleading, defamatory, harassing, discriminatory, obscene, or that infringes any third party's rights;
(c) access or collect data from the Platform by scraping, crawling, automated scripts, or any means other than the interfaces we provide, or use any Content or data obtained from the Platform to build or train any database, model, or artificial intelligence system;
(d) sell, resell, license, or otherwise commercialize access to the Platform or any data obtained from it;
(e) interfere with the Platform's operation or security, probe or test its vulnerabilities, or circumvent any access control, rate limit, geographic restriction, or verification step;
(f) impersonate any person or entity, or misrepresent Your affiliation with any person or entity;
(g) use the Platform to solicit Users for any purpose unrelated to a genuine employment opportunity, including multi-level marketing, paid training, or any arrangement in which the Job Seeker would pay anyone;
(h) post or fill any role that is unlawful, that the candidate is not legally permitted to perform, or that is a performing arts, modeling, or talent engagement of the kind regulated by talent agency laws, which the Platform does not host; or
(i) use the Platform in any way that the Specific Terms prohibit.
We may remove Content, restrict features, or take enforcement action under Part XI for any violation of this Part. We may also report unlawful conduct to law enforcement.
V. THE PLATFORM AND THE SERVICES
We run a verified hiring platform. We are not a recruiter, an employment agency, or a staffing firm. We do not place, refer, interview, negotiate, or hire. Employers and recruiters post; verified job seekers apply; the two of them take it from there.
SoloTrueJobs.com provides an online platform on which Recruiters and Businesses post roles and search a pool of Verified Job Seekers, and on which Verified Job Seekers view and apply to roles whose stated hard requirements their verified credentials satisfy. SoloTrueJobs.com does not procure employment for any person, does not procure employees for any employer, does not refer, interview, screen for suitability, negotiate, or extend offers, and does not receive any fee contingent on any hire. Every hiring decision, and every term of any employment or engagement, is made solely between the Job Seeker and the Recruiter or Business, without SoloTrueJobs.com's involvement.
A. Availability and Changes
We may add, change, suspend, or discontinue any feature of the Platform at any time. We will give at least thirty (30) days notice of a change that materially reduces the core functionality You pay for, and where such a change takes effect during a prepaid period, we will credit or refund the unused portion of the affected prepaid fee pro rata. Routine maintenance, security measures, and improvements do not require notice.
B. Availability of Paid Job Seeker Packages
Paid Job Seeker Packages and the monthly access subscription are offered only in the states where paid Job Seeker Packages are currently offered, as shown at checkout. Each Job Seeker declares a state of residence at sign up. SoloTrueJobs.com maintains the list of states where paid Job Seeker Packages are currently offered as a configuration setting and may change it at any time. At checkout for a paid Package, a declared state that is not on the list blocks the purchase before payment. The billing address of the payment method is collected by our payment processor after the purchase is submitted; where the billing state is not on the list, the payment is refunded and the plan is cancelled automatically, and SoloTrueJobs.com keeps a record of the refund holding only the state and country of the billing address. A Job Seeker whose purchase is blocked or refunded receives the free profile described in the Job Seeker Terms and is not charged, and a Job Seeker whose declared state is not on the list holds first in line status for paid service in that state if and when it is offered. You shall not misrepresent Your residence or use any means to circumvent this check. The Job Seeker Terms state the residence representation and the consequences of a misrepresentation. A change to the list does not affect a subscription already in effect, which runs to the end of its paid period.
VI. VERIFICATION AND ITS LIMITS
Verification confirms that you are who you say you are and that your credentials are what you say they are. It is performed by trusted external partners. It does not include criminal history searches, ever, and it is not a safety endorsement. This Part says so in exactly the words we want every user to read.
Verification on SoloTrueJobs.com confirms identity (government issued identification, selfie, and liveness check, performed by our designated identity verification partner) and credentials (work history, education, and professional licenses, performed by our designated credential verification partner). SoloTrueJobs.com never requests, obtains, or reviews criminal history searches of any kind. Verification is not an investigation of character or history, is not an endorsement of any person's safety, character, or suitability, and is not a substitute for any screening an employer is required or chooses to perform. Hiring decisions, and any criminal or other screening associated with them, remain exclusively between the hiring company and the candidate.
RULE: No criminal history searches, at any tier, for any user type, ever. Verification is not a safety endorsement. It confirms identity and credentials, nothing more.
A. Verification Partners and Data Flow
Verification work is performed by the Verification Partners, not by SoloTrueJobs.com. Government identification images, biometric data, and Social Security numbers are captured directly by and retained at the Verification Partners and are never stored on SoloTrueJobs.com systems. SoloTrueJobs.com stores account credentials, profile data, and verification status flags only. The Privacy Policy names the Verification Partners and describes their roles.
B. Nature of Verification
Verification reflects the records available to the Verification Partners on the date of verification. SoloTrueJobs.com does not assure that any verified item is or remains accurate, that any unverifiable item is false, or that a verified User will behave honestly. The Specific Terms describe how disputed findings are handled.
C. Biometric Notice
Identity verification involves the capture of a selfie image and a liveness check, from which our identity verification partner derives a facial geometry template for the sole purpose of confirming that the person presenting the identification document is the person in the document. Before capture, You will be shown a written biometric notice and asked for Your written consent, which may be given by electronic signature. Biometric data is captured, stored, and destroyed by the identity verification partner under its published retention schedule, and is never stored on SoloTrueJobs.com systems.
VII. NO ASSURANCE OF OUTCOMES
We provide a verified pool and a platform that enforces its own rules. We do not assure you a job, a hire, a response from any particular person, or any result.
SoloTrueJobs.com makes no representation or warranty that any Job Seeker will receive a Match, an application response, an interview, an offer, or employment; that any Recruiter or Business will receive applications, candidates of any particular quality or number, or any hire; or that any role posted will be filled. Claims we make about the Platform describe how the Platform works (for example, that every Job Seeker is identity verified before seeing a posting), not the result any User will obtain. The only refund tied to a Job Seeker's results is the No Match Refund described in the Job Seeker Terms, on the conditions stated there.
VIII. FEES, BILLING, AND RENEWALS
Prices are in the Specific Terms and on the Platform. Verification fees are never refundable. Your first month is included in your verification fee. Monthly plans continue until you cancel, and cancelling is no harder than signing up. Annual plans are prepaid and renew only if you choose to renew. Free packages on a monthly plan work the same way from the second month, and you agree to the recurring charge at checkout.
A. Fees
Fees for each Package and subscription are stated in the Specific Terms and on the Platform at the time of purchase. All fees are in United States dollars and exclude taxes, which You are responsible for. Verification and onboarding fees pay for work performed by the Verification Partners and by SoloTrueJobs.com and are not refundable in any circumstance once the work has begun.
B. Monthly Plans
Your first month is included in Your verification fee. Your plan then continues month to month at the price shown at checkout, charged to Your payment method on file, until You cancel. We ask for Your separate agreement to the recurring charge at checkout. You may cancel at any time from Your account; cancellation takes effect at the end of the period You have paid for, and no further amounts are charged. Cancelling is no harder than signing up.
Before You agree to the recurring charge we display, clearly and conspicuously and next to the request for Your agreement: that the plan continues until cancelled; the amount and frequency of the recurring charge; the length of each renewal term; and how to cancel.
C. Annual Plans
Annual plans are prepaid for twelve (12) months and do not renew automatically. We send You reminders at least thirty (30) days and seven (7) days before Your plan ends. Your plan renews only if You elect to renew. If You do not, Your access ends on the expiration date, and Your account and profile data is retained for ninety (90) days and then deleted, with other records kept as the Privacy Policy describes. Annual plans are non refundable, except as Part XI.D provides for closure without cause, discontinuance of the Platform, or a material modification You reject under Part XVI. The checkout for every annual plan displays, before payment: prepaid; non cancelable; non refundable except as stated; does not auto renew.
D. Free Packages
If You received a free Package on a monthly plan, the same monthly terms apply from Your second month, and You will be asked for Your agreement to the recurring charge at checkout. A payment method is collected at checkout and is not charged until month two. Conversion to the monthly plan is subject to Part V.B.
E. Failed Payments and Chargebacks
The Specific Terms describe what happens when a scheduled charge fails and when a User disputes a legitimate charge with a bank or card issuer. In summary, a failed charge places the account on hold until the charge is paid, and a chargeback against a legitimate charge, submitted instead of cancelling through the Platform, results in closure.
F. Price Changes
We may change prices prospectively. A price change affecting a subscription You hold takes effect at Your next renewal after at least thirty (30) days notice by email and in platform notice, and we will not charge the new price without Your affirmative consent where applicable law requires it.
IX. INTELLECTUAL PROPERTY AND USER CONTENT
The Platform is ours. Your content is yours. You give us the license we need to run the Platform and to publish aggregated statistics that never identify you. Your verification report belongs to you.
A. The Platform
The Platform, including its software, design, databases, matching architecture, canonical schemas, scoring methodology, text, graphics, and the names and marks SoloTrueJobs.com, SOLOTRUEJOBS.COM, TRUE5, TRUE7, TRUE10, TRUEREC, TRUEBIZ, and STJ Access, is owned by SoloTrueJobs.com LLC or its licensors and is protected by copyright, trademark, trade secret, and other laws. Subject to the Agreement, we grant You a limited, revocable, non exclusive, non transferable license to access and use the Platform for its intended purpose. No other right is granted. You shall not copy, modify, reverse engineer, or create derivative works of the Platform.
B. Your Content
You retain ownership of Your Content. You grant SoloTrueJobs.com a worldwide, non exclusive, royalty free license to host, store, reproduce, display, transmit, and process Your Content as needed to operate, secure, and improve the Platform, to perform verification, to enforce the Agreement, and to comply with law. We do not sell Your Content and do not share it with third parties for their marketing or advertising. We may publish aggregated, anonymized statistics derived from Platform wide data that do not identify any User. The license survives closure only to the extent needed for the retention described in the Privacy Policy.
C. Verification Reports
A Job Seeker's verification report is the Job Seeker's property, as the Job Seeker Terms describe. SoloTrueJobs.com retains an internal record of verification status for platform integrity purposes.
D. Feedback
If You send us suggestions or feedback about the Platform, we may use them without obligation to You.
E. Copyright Complaints
If You believe Content on the Platform infringes Your copyright, send a notice meeting the requirements of 17 U.S.C. 512(c)(3) to our designated agent at the address listed in Part XVIII. We respond to valid notices and may close the accounts of repeat infringers.
X. THIRD PARTY SERVICES AND LINKS
Verification partners, payment processors, and any links to outside sites are run by other companies. Their terms apply to your dealings with them.
The Platform relies on third party services, including the Verification Partners and our payment processor, each of which operates under its own terms and privacy practices. Your use of those services in connection with the Platform is subject to their terms where they apply directly to You (for example, a Verification Partner's biometric consent screen). SoloTrueJobs.com is not responsible for third party sites linked from the Platform or for the content, products, or practices of any third party.
XI. SUSPENSION AND CLOSURE
The Specific Terms set the enforcement rules for each user type. This Part says what closure means for everyone: your access ends, your identity is barred, and prepaid fees are handled as stated here.
A. Grounds
SoloTrueJobs.com may place an account on hold, suspend it, or close it as the Specific Terms provide, including for breach of the Agreement, material misrepresentation, identity fraud, non payment, chargeback against a legitimate charge, chronic unresponsiveness, pattern based conduct, or conduct that threatens other Users or the Platform. Except where the Specific Terms provide immediate closure (for example, identity fraud or chargeback), closure follows the graduated timeline in the Specific Terms where they provide one, and determinations are made under the fairness commitment in those terms.
B. Effect of Closure
On closure: (a) Your access to the Platform ends; (b) the verified identity (for individuals) or the firm and its verified principals (for Agencies and Businesses) is barred from the Platform going forward under any email, name, entity, or other identity; (c) active conversations and pending obligations are closed; and (d) Your Content is retained or deleted as the Privacy Policy describes.
C. [Reserved]
D. Prepaid Fees on Closure
Verification and onboarding fees are not refunded on closure for any reason. Monthly subscription fees for the period in progress are not refunded on closure for cause. Where an annual plan is closed by SoloTrueJobs.com for cause before the end of its term, SoloTrueJobs.com retains the fees for all months begun through the month of closure plus an early termination charge equal to two (2) months of the monthly rate for the same tier (the amount of the annual discount), and refunds the balance of the prepaid annual fee within thirty (30) days. Where SoloTrueJobs.com closes an account without cause or discontinues the Platform, all unused prepaid fees are refunded pro rata.
XII. DISCLAIMERS AND LIMITATION OF LIABILITY
The Platform is provided as is. We cap what we owe you at what you paid us in the last 12 months, and we are not liable for indirect losses like lost wages, lost profits, or lost placements. Some states limit these clauses, and where they do, they apply only as far as the law allows.
A. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR FREE OPERATION. SOLOTRUEJOBS.COM DOES NOT WARRANT THE CONDUCT, QUALIFICATIONS, OR SUITABILITY OF ANY USER, THE ACCURACY OF ANY VERIFICATION FINDING, OR THAT ANY ROLE, CANDIDATE, OR OPPORTUNITY EXISTS OR REMAINS AVAILABLE. THE SPECIFIC COMMITMENTS WE MAKE IN THE AGREEMENT (FOR EXAMPLE, THE FAIRNESS COMMITMENT AND THE NO MATCH REFUND) ARE CONTRACTUAL OBLIGATIONS ON THEIR STATED TERMS AND ARE NOT WARRANTIES OF ANY OUTCOME.
B. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) SOLOTRUEJOBS.COM AND ITS MEMBERS, MANAGERS, OFFICERS, CONTRACTORS, AND VERIFICATION PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST WAGES, LOST PROFITS, LOST PLACEMENTS, LOST BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE PLATFORM, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) THE TOTAL LIABILITY OF SOLOTRUEJOBS.COM FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF THE TOTAL FEES YOU PAID TO SOLOTRUEJOBS.COM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR SOLOTRUEJOBS.COM'S FRAUD OR WILLFUL MISCONDUCT, AND DO NOT LIMIT ANY REFUND EXPRESSLY PROVIDED IN THE AGREEMENT.
C. Dealings Between Users
SoloTrueJobs.com is not a party to any communication, interview, offer, employment, engagement, or dispute between Users. You release SoloTrueJobs.com from claims arising out of Your dealings with other Users, except to the extent caused by SoloTrueJobs.com's breach of the Agreement.
D. Basis of the Bargain
You acknowledge that the fees charged reflect the allocation of risk in this Part and that SoloTrueJobs.com would not provide the Platform without it.
XIII. INDEMNIFICATION AND GOVERNING LAW
If your conduct on the Platform gets us sued, you cover us. Florida law governs.
A. Indemnification
You shall defend, indemnify, and hold harmless SoloTrueJobs.com and its members, managers, officers, employees, and contractors from and against any claim, demand, loss, liability, cost, and expense (including reasonable attorney fees) arising out of or relating to: (a) Your Content; (b) Your breach of the Agreement; (c) Your violation of any law or of any third party's rights; (d) for Recruiters and Businesses, any role You post, any hiring decision, any employment relationship, and any licensing, registration, pay transparency, anti discrimination, or other legal requirement applicable to Your business; or (e) any dispute between You and another User. SoloTrueJobs.com may assume control of the defense of any claim at Your expense, and You shall not settle any claim affecting SoloTrueJobs.com without our written consent. For a User who is a natural person acting as a consumer, this Part applies only to the extent permitted by applicable law.
B. Governing Law
The Agreement and any dispute arising out of or relating to it or the Platform are governed by the laws of the State of Florida and the Federal Arbitration Act, without regard to conflict of laws principles. Venue for any matter not subject to arbitration lies exclusively in the state and federal courts located in Duval County, Florida, and You consent to the personal jurisdiction of those courts. Where applicable law gives You non waivable rights under the law of Your state of residence, nothing in this Part deprives You of them.
XIV. DISPUTE RESOLUTION
Read this Part. If we have a dispute we cannot resolve by talking, it goes to individual arbitration, not court, unless it fits in small claims court. No class actions, no jury. You can opt out of arbitration within 30 days of first accepting these Master Terms by sending us an email.
A. Informal Resolution
Before starting any arbitration or lawsuit, the party raising the dispute shall send the other a written notice describing the dispute and the relief sought (to SoloTrueJobs.com at the email address in Part XVIII, and to You at the email address on Your account). The parties shall try in good faith to resolve the dispute for sixty (60) days after the notice. The statute of limitations and any filing deadline are tolled during that period.
B. Agreement to Arbitrate
Except as provided in Parts XIV.C and XIV.H, You and SoloTrueJobs.com agree that any dispute, claim, or controversy arising out of or relating to the Agreement, the Platform, or Your relationship with SoloTrueJobs.com, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before or after the date of the Agreement, shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (for Job Seekers and Solo Recruiters acting as individuals) or its Commercial Arbitration Rules (for Agencies and Businesses), as in effect when the arbitration is filed. The arbitrator, and not any court, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this Part, except that a court decides whether Part XIV.E is enforceable.
C. Small Claims Exception
Either party may bring an individual claim in small claims court in the county of Your residence or in Duval County, Florida, if the claim is within that court's jurisdiction and remains an individual claim. If a claim is transferred, removed, or appealed to a different court, it is subject to arbitration under this Part.
D. Arbitration Procedure
The arbitration is conducted by a single neutral arbitrator. For a consumer claim, the hearing, if any, takes place in the county of Your residence or by video conference, and SoloTrueJobs.com pays all AAA filing, administrative, and arbitrator fees above the consumer filing fee set by the AAA Consumer Rules, except that the arbitrator may reallocate fees if the arbitrator finds a claim frivolous. The arbitrator may award any individual relief a court could award, including injunctive or declaratory relief limited to the claimant, and shall issue a reasoned written decision. Judgment on the award may be entered in any court of competent jurisdiction. AAA's rules and forms are available at www.adr.org.
E. Class Action and Jury Waiver
YOU AND SOLOTRUEJOBS.COM EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding, and may award relief only in favor of the individual party seeking it and only to the extent necessary to provide relief warranted by that party's individual claim. If this Part XIV.E is found unenforceable as to a particular claim or request for relief, that claim or request shall be severed and decided by a court, and the remainder shall proceed in arbitration.
F. Mass Arbitration
If twenty five (25) or more similar demands are filed against SoloTrueJobs.com by or with the assistance of the same counsel or coordinated group, the AAA Mass Arbitration Supplementary Rules apply, the demands are resolved in staged batches of no more than twenty (20), and the sixty (60) day negotiation period in Part XIV.A applies to each batch.
G. Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or to stop unauthorized access to or use of the Platform, and any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Duval County, Florida, to whose personal jurisdiction You consent.
H. Opt Out
You may opt out of Parts XIV.B through XIV.F by sending an email to the address in Part XVIII, from the email address on Your account, within thirty (30) days after You first accept these Master Terms, stating Your name and that You opt out of arbitration. Opting out does not affect any other part of the Agreement. If You opt out, disputes are resolved in the courts described in Part XIV.G, and the jury waiver in Part XIV.E still applies to the extent permitted by law.
I. Survival and Changes
This Part survives closure of Your account and termination of the Agreement. If we change this Part after You accept it, You may reject the change by notice to us within thirty (30) days of the change, in which case the version You last accepted governs disputes between us.
XV. ELECTRONIC COMMUNICATIONS AND NOTICES
We communicate by email and in platform notice. Keep your email current. Notices to us go to the address in Part XVIII.
You consent to receive all communications relating to the Agreement and the Platform electronically, by email to the address on Your account and by in platform notice, and You agree that electronic communications satisfy any legal requirement that a communication be in writing. Notices to SoloTrueJobs.com shall be sent to the address in Part XVIII and are effective on receipt. You may withdraw consent to electronic communications only by closing Your account.
XVI. MODIFICATIONS AND VERSIONING
We can change these documents. Material changes get 30 days notice by email and on the Platform. Every version is numbered and dated, and we keep the version you accepted.
SoloTrueJobs.com may modify the Agreement from time to time. A material modification (one that meaningfully changes Your rights, obligations, or pricing) is communicated by email and by prominent in platform notice at least thirty (30) days before it takes effect, and where applicable law requires Your affirmative consent to a change in a recurring charge, we obtain it. Your continued use of the Platform after the effective date constitutes acceptance; if You do not accept, Your remedy is to cancel before the effective date, and for a prepaid annual plan we refund the unused portion pro rata if You cancel for that reason. Non material modifications (corrections, formatting, clarifications that do not change rights or obligations) may be made without advance notice. Every document in the Agreement carries a version number and effective date, the current version is always available on the Platform, and we retain every released version, together with Your record of accepting the Master Terms and the Privacy Policy.
XVII. GENERAL PROVISIONS
(a) Entire agreement. The Agreement is the entire agreement between You and SoloTrueJobs.com about the Platform and supersedes all prior discussions. (b) Severability. If any provision is held unenforceable, it is modified to the minimum extent needed and the rest remains in effect. (c) No waiver. A failure to enforce any provision is not a waiver. (d) Assignment. You may not assign the Agreement; SoloTrueJobs.com may assign it in connection with a merger, acquisition, or sale of assets with notice to You. (e) Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations. (f) Independent parties. Nothing creates an agency, partnership, employment, or joint venture relationship. (g) Export and sanctions. You represent that You are not subject to United States sanctions and will not use the Platform in violation of export laws. (h) Survival.
